BOOTH STATION – BUSINESS SALES TERMS AND CONDITIONS
1. Definitions
“Company”, “Booth Station”, “we”, “us”, or “our” means Booth Station.
“Customer”, “you” or “your” means the individual, sole trader, partnership, limited company or organisation purchasing goods or services from Booth Station.
“Goods” means any photo booth, vending machine, 360 booth, software, accessories, components, spare parts, training materials or related products supplied by Booth Station.
“Services” means any training, installation, setup assistance, mentoring, support, marketing guidance or other services provided by Booth Station.
“Contract” means the agreement between Booth Station and the Customer incorporating these Terms.
2. Application of Terms
2.1 These Terms apply to all quotations, orders, sales and supplies of Goods and Services.
2.2 No variation shall be binding unless agreed in writing by Booth Station.
2.3 Any terms proposed by the Customer are excluded unless expressly accepted by Booth Station.
2.4 By placing an order, the Customer confirms acceptance of these Terms.
3. Orders and Acceptance
3.1 Quotations are invitations to treat and do not constitute contractual offers.
3.2 A Contract shall only arise when Booth Station accepts an order in writing or commences manufacture.
3.3 Booth Station reserves the right to refuse any order.
3.4 Product specifications may be amended where necessary to improve quality, safety, compliance or manufacturing processes.
4. Pricing and Payment
4.1 All prices are quoted in Pounds Sterling (£).
4.2 Unless stated otherwise, prices exclude VAT and applicable taxes.
4.3 Full payment may be required before production begins.
4.4 Failure to make payment may result in production delays, suspension or cancellation of the order.
4.5 The Customer shall reimburse Booth Station for all reasonable recovery costs associated with overdue payments.
5. Retention of Title
5.1 Ownership of Goods shall remain with Booth Station until full payment has been received.
5.2 Until ownership passes, the Customer shall:
(a) keep the Goods properly insured;
(b) not sell, pledge or dispose of the Goods;
(c) keep the Goods identifiable as Booth Station property.
5.3 Booth Station reserves the right to recover Goods where payment remains outstanding.
6. Bespoke and Made-to-Order Products
6.1 Many Booth Station products are manufactured to order and customised to customer specifications.
6.2 Once production has commenced, orders cannot be cancelled without Booth Station’s written consent.
6.3 Bespoke products are non-refundable except where required by law or where the Goods are faulty.
6.4 Customers are responsible for ensuring all specifications, dimensions, branding and requirements are correct before production begins.
7. Design Approval and Mock-Ups
7.1 Where artwork, branding, dimensions or designs require approval, Booth Station will provide mock-ups where appropriate.
7.2 Approval confirms acceptance of all layouts, measurements, wording, colours and specifications.
7.3 Any errors identified after approval may incur additional manufacturing and shipping costs.
7.4 Customer-approved artwork shall be deemed final.
8. Delivery
8.1 Delivery dates are estimates only.
8.2 Booth Station shall not be liable for delays caused by:
(a) manufacturers;
(b) shipping companies;
(c) customs authorities;
(d) force majeure events;
(e) supply chain disruption.
8.3 Customers should not accept event bookings or commercial commitments until Goods have been received and tested.
8.4 Risk passes to the Customer upon delivery.
9. Inspection and Damage Claims
9.1 Customers must inspect Goods immediately upon delivery.
9.2 Transit damage must be reported within 24 hours of receipt.
9.3 Reports must include photographic or video evidence.
9.4 Failure to report within this period may affect Booth Station’s ability to recover losses from carriers or insurers.
9.5 Cosmetic marks to flight cases, wheels, packaging or protective transport equipment shall not constitute product defects.
10. Warranty
10.1 Goods are supplied with the warranty period stated on the relevant product page or sales documentation.
10.2 The warranty covers manufacturing defects in materials and workmanship only.
10.3 Booth Station may repair, replace or provide replacement components at its discretion.
10.4 Warranty cover applies only to the original purchaser unless formally transferred.
11. Warranty Exclusions
The warranty does not cover:
(a) accidental damage;
(b) customer misuse;
(c) negligence;
(d) cosmetic wear and tear;
(e) fading or scratches;
(f) theft or vandalism;
(g) improper transport;
(h) improper storage;
(i) unauthorised repairs;
(j) modifications;
(k) consumable items;
(l) batteries;
(m) water damage;
(n) excessive weight loading;
(o) failure to follow instructions;
(p) damage caused by customers, guests or event attendees.
12. Warranty Transfer
12.1 Warranty transfers may be permitted at Booth Station’s discretion.
12.2 An administration fee may apply.
12.3 Warranty transfer requests must be submitted in writing.
13. Business Success Disclaimer
13.1 Booth Station supplies equipment, support, training, mentoring and marketing guidance.
13.2 Booth Station does not guarantee:
(a) bookings;
(b) revenue;
(c) profitability;
(d) customer demand;
(e) return on investment;
(f) business growth;
(g) commercial success.
13.3 Any examples, testimonials, ROI calculators, case studies, forecasts or projections are illustrative only.
13.4 Results vary based on individual effort, market conditions, location, competition, pricing and factors beyond Booth Station’s control.
14. Training and Support
14.1 Training sessions, mentoring and support are provided as goodwill services unless otherwise agreed.
14.2 Missed appointments without reasonable notice may incur charges.
14.3 Booth Station reserves the right to amend training schedules where necessary.
15. Intellectual Property
15.1 All trademarks, logos, branding, designs, software, images, manuals and content remain the property of Booth Station.
15.2 Customers may not copy, reproduce, distribute or reverse engineer Booth Station products or designs.
15.3 Use of Booth Station branding requires prior written consent.
16. Limitation of Liability
16.1 Nothing in these Terms excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) any liability which cannot lawfully be excluded.
16.2 Subject to clause 16.1, Booth Station’s total liability shall not exceed the amount paid by the Customer for the relevant Goods.
16.3 Booth Station shall not be liable for:
(a) loss of profit;
(b) loss of revenue;
(c) loss of opportunity;
(d) loss of bookings;
(e) business interruption;
(f) loss of goodwill;
(g) indirect or consequential losses.
17. Force Majeure
17.1 Booth Station shall not be liable for failure or delay resulting from events beyond reasonable control.
17.2 Such events include:
(a) war;
(b) terrorism;
(c) pandemic;
(d) government restrictions;
(e) industrial disputes;
(f) shortages of materials;
(g) customs delays;
(h) natural disasters.
18. Fraudulent Claims
18.1 Booth Station reserves the right to investigate suspicious warranty or damage claims.
18.2 Evidence may include photographs, videos, shipping records, witness statements and other relevant information.
18.3 Fraudulent claims may be reported to insurers, law enforcement agencies and relevant authorities.
Product Identification, Dispatch Records and Insurance Claims
For security, fraud prevention and intellectual property protection purposes, Booth Station does not routinely disclose product serial numbers, internal identification numbers, tracking references, manufacturing references or security identifiers.
Booth Station maintains internal records of all serial numbers, production records, quality control records and product identifiers.
Prior to dispatch, Booth Station may photograph, video record, inspect and document products, packaging, accessories, flight cases and shipment contents. These records may be used for quality assurance, warranty verification, insurance claims, fraud prevention and dispute resolution purposes.
Customers acknowledge that Booth Station’s dispatch records, quality control records, manufacturing records, photographs and videos may be relied upon when assessing warranty claims, damage claims, missing item claims or disputes.
Where a damage claim, transit claim or loss claim is submitted, the claim may be referred to the relevant carrier, insurer, manufacturer or claims handler for investigation.
Customers agree to cooperate fully with any investigation and provide all requested information, photographs, videos and supporting evidence within the timeframe requested.
Booth Station shall not be liable for delays arising from investigations conducted by insurers, carriers or third-party claims handlers.
Any settlement, compensation, repair, replacement or rejection of a claim shall be determined following review of the available evidence and the findings of the relevant insurer, carrier or claims handler.
Where an insurer, carrier or claims handler rejects a claim due to insufficient evidence, late reporting, customer actions, customer negligence or circumstances outside Booth Station’s control, Booth Station shall not be responsible for providing compensation, refunds or replacement products.
Booth Station reserves the right to reject claims where evidence suggests misuse, accidental damage, fraudulent activity, tampering, unauthorised modifications or inaccurate information has been provided.
All products are photographed and/or video recorded immediately prior to dispatch. These records shall be deemed evidence of the condition, contents and configuration of the Goods at the time they left Booth Station’s possession.
19. Data Protection
19.1 Personal information shall be processed in accordance with applicable UK data protection legislation.
19.2 Customers agree that information may be shared where necessary to process orders, deliveries, warranties, finance applications and fraud investigations.
20. Third-Party Services
20.1 Booth Station is not responsible for third-party websites, software, payment providers or external services.
20.2 Use of third-party services is at the Customer’s own risk.
21. Dispute Resolution
21.1 Parties shall attempt to resolve disputes amicably before commencing legal proceedings.
21.2 If resolution cannot be achieved, disputes shall be submitted to the courts of England and Wales.
22. General
22.1 If any provision is found unenforceable, the remaining provisions shall remain in force.
22.2 Failure to enforce any right shall not constitute a waiver.
22.3 These Terms constitute the entire agreement between the parties.
Vending Machine Compliance, Payment Processing and Third-Party Account Approvals
Where a vending machine requires integration with third-party services, including but not limited to Nayax, Yoti, payment processors, SIM providers, age-verification providers, merchant service providers, card acquirers or software platforms, the Customer acknowledges that separate applications, approvals, verification procedures and compliance checks may be required.
The Customer is solely responsible for providing accurate information, completing application forms, supplying requested documentation and responding promptly to requests from third-party providers.
Booth Station shall not be liable for any delay, suspension, rejection, restriction or refusal arising from:
- Nayax account approval processes;
- Yoti verification processes;
- merchant account applications;
- payment gateway approvals;
- anti-money laundering checks;
- know-your-customer (KYC) requirements;
- age-verification requirements;
- SIM card activation;
- mobile network approvals;
- banking requirements;
- regulatory requirements;
- compliance investigations;
- delays caused by third-party providers.
Any estimated installation, setup, production, activation or launch dates are provided for guidance only and are dependent upon the timely completion of all third-party approval processes.
Where production, installation, activation, dispatch or commissioning is delayed because the Customer has failed to provide information, documentation, approvals or responses required by a third-party provider, Booth Station shall not be responsible for any resulting losses, delays, missed trading opportunities, missed events, loss of revenue, loss of profit or additional costs.
Booth Station makes no guarantee regarding approval timeframes, activation dates or acceptance by any third-party provider.
Any delays caused by third-party providers shall not entitle the Customer to cancel an order, reject delivery, claim compensation or request a refund.
The Customer acknowledges that Booth Station is a hardware manufacturer and supplier and is not responsible for regulatory approvals, merchant account approvals, payment processing approvals, age-verification approvals or ongoing compliance obligations required for the operation of the vending machine.
23. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
24. Manufacturer Electrical Safety PAT Test Certificate
Each Booth Station machine undergoes electrical safety and quality assurance testing prior to dispatch.
A Manufacturer Electrical Safety PAT Test Certificate is provided to confirm that the equipment successfully passed electrical safety testing during the manufacturing process.
Many venues accept manufacturer-issued electrical safety documentation; however, venue requirements vary and Booth Station cannot guarantee acceptance by every venue, insurer or event organiser.
Where an independent PAT certificate is specifically required, obtaining such certification remains the responsibility of the operator.
The provision of a Manufacturer Electrical Safety Test Certificate demonstrates that the equipment was tested and passed electrical safety checks before leaving the manufacturing facility.
25. BESPOKE MANUFACTURING
All Booth Station products are bespoke and manufactured specifically for the Customer.
Production resources, labour, materials and manufacturing capacity are allocated immediately following order confirmation.
The Customer acknowledges that the Goods are manufactured specifically for them in our Hong Kong warehouse and are not stock items and only quality checked in the UK or one of our hubs.
Once production has commenced, orders cannot be cancelled and are not eligible for refund except where required by law or where the Goods are faulty or materially different from the agreed specification.
Any changes requested after production has commenced may incur additional manufacturing costs, shipping costs and production delays.
Customers are responsible for ensuring that all specifications, dimensions, artwork, branding, colours, logos and measurements supplied are accurate.
